1. Acceptance of Terms

Welcome to Argus One, operated by Covenant Communications ("Company," "we," "us," or "our"). By accessing or using our services, including the Argus One platform, website, and related applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not access or use our Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Argus One is a rapid-deployment autonomous off-grid AI surveillance platform. Our Services include:

  • Cloud-based surveillance management platform
  • AI-powered video analytics and threat detection
  • Device management and monitoring capabilities
  • Data storage and retrieval services
  • User and organization management tools

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

3. Account Registration

To access certain features of our Services, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

4. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to any part of the Services

  • Transmit viruses, malware, or other harmful code

  • Collect or harvest user information without consent
  • Use the Services in violation of privacy laws

5. User Responsibilities

As a user of surveillance technology, you are solely responsible for:

  • Complying with all applicable surveillance and privacy laws in your jurisdiction
  • Obtaining necessary consents and posting required notices for surveillance activities
  • Ensuring your use of surveillance does not infringe on others' privacy rights
  • Securing your devices and access credentials
  • Managing and safeguarding any recorded data
  • Training authorized users on proper and lawful use of the Services

6. Intellectual Property

The Services and all content, features, and functionality (including software, text, graphics, logos, and trademarks) are owned by Covenant Communications or its licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. This license does not include the right to:

  • Modify, copy, or create derivative works of the Services
  • Reverse engineer, decompile, or disassemble any software
  • Remove any proprietary notices or labels
  • Use our trademarks without prior written consent

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to our collection and use of data as described in the Privacy Policy.

You retain ownership of any content you upload to the Services. By uploading content, you grant us a license to store, process, and transmit that content as necessary to provide the Services.

8. Payment and Billing

Certain Services may require payment of fees. By subscribing to paid Services, you agree to:

  • Pay all applicable fees as described at the time of purchase

Fees are non-refundable except as expressly stated or required by law. We may change pricing with reasonable notice, and continued use constitutes acceptance of new pricing.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not guarantee the accuracy of AI-generated analytics or threat detection.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVENANT COMMUNICATIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Covenant Communications and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable laws
  • Your infringement of any third-party rights

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the Services will immediately cease
  • You must discontinue all use of the Services
  • We may delete your account and associated data

Provisions that by their nature should survive termination shall remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Covenant Communications is incorporated, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes arising from these Terms or the Services shall first be attempted to be resolved through informal negotiation. If resolution cannot be reached, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
